Kull Leadership’s products and services are solely intended as a business to business offering and not to be offered directly to consumers.

By placing an order on the Website you are entering into an agreement with Kull Leadership and thereby accept these general terms and conditions (“General Terms”). The terms “we”, “us” and “our” refer to Kull Leadership; and the term “you” or “Customer” refer to you as a visitor of the Website or purchaser of our products and/or services (including but not limited to self- study programmes, books in hard copy, printed and electronic material) (“Products”).

Our live programmes, workshops, coaching services and other services which are marketed at the Website and only available upon request, are subject to separate terms. Such terms will be provided to you no later than in connection with order confirmation by Kull Leadership.

2. General Terms, access to and use of the Website
These General Terms may be amended by Kull Leadership, at its sole discretion, at any time. You can review the most current version of the General Terms at any time on this Website page.

By agreeing to these General Terms, you represent that you have the legal capacity and authority to enter into an agreement with Kull Leadership.

While we will make every effort to ensure constant access to the Website, access may at any time be restricted or temporarily cancelled. Kull Leadership does not guarantee that the Website or Products will be free from errors or interruptions. Kull Leadership is not responsible for any such interruptions or errors in the use of the Website or Products, including links to third-party websites and interruptions at such third-party websites.

We reserve the right to refuse to provide our Products to anyone for any reason at any time without any responsibility or liability. We reserve the right at any time to modify or discontinue the provision of any Products without notice at any time. We reserve the right, but are not obligated, to limit the sales of our Products to any individual or legal entity, geographic region or jurisdiction.

You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

3. Prices, purchasing and delivery
Prices for our Products are subject to change without notice. All prices are exclusive of VAT. VAT will be added if applicable according to law. Any freight costs will be added.

You agree to provide current, complete and accurate purchase and account information for all purchases made. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

Self-study programmes and other electronic materials
You will be granted access to the Products being delivered electronically during the applicable subscription period.

Printed books and other printed materials
Products will be sent to the shipping address provided by you in connection with placing your order. The estimated delivery time (stated in the order confirmation), is not a guaranteed delivery time. Kull Leadership is not responsible for lost packages or packages sent to the incorrect address or undeliverable Products. Kull Leadership is not responsible for delays in shipping caused by events outside of our control.

International orders may be subject to import duties and taxes. All such import duties, taxes and other costs associated with the sale and purchase of the Products is your responsibility. You should check with your country´s customs service to determine what these additional costs will be. Kull Leadership will not compensate you for any such costs or taxes.

4. Payment, return policy and refund
Ordered Product shall be paid by you at the time of placing an order on the Website, as instructed in connection with each purchase. Upon request, payment can be made against invoice as separately agreed with Kull Leadership.

Self-study programmes and other electronic materials
Purchased self-study programmes and electronic materials may not be cancelled and are non- refundable.

Printed books and other printed materials
We have a 14-day return policy, which means you must request a return within 14 days after receiving your item. To be eligible for a return, your item must be in the same condition that you received it and in its original packaging. You will also need to present the receipt or proof of purchase. To initiate a return, you must contact us at info@kulleadership.com and wait for a written confirmation before returning the item.

Return items shall be sent to: Kull Leadership AB, Rosengatan 9, 413 10 Göteborg, Sweden.

In case of a return, you are responsible for any shipping costs and all other costs for the return of the item. Upon receipt of the returned item we will inspect the returned item and provide a notification if refund is approved or not. If approved, you will be automatically refunded via your original payment method within 15 business days. Please note that it can take some time for your bank or credit card company to process and post the refund. Banking fees and costs for delivery are non-refundable.

Sale-, campaign items or gift cards are non-refundable.

Damages: Please inspect your order upon receipt and contact us immediately if the item is defective, damaged or if you received the wrong item.

Exchanges: If you want to make sure you receive a refund on the item you want to return before you order a new item, we advise you to make a separate purchase once the return is approved.

Complaints: If you want to make a complaint in case of defects, you must contact us without undue delay at info@kulleadership.com . If the complaint is approved by us, we will cover the shipping cost for the return of the defect Product. At our discretion, we will send you a new Product or reimburse you for the defect Product.

Kull Leadership will not be liable to compensate you for any incurred costs or charges related to the purchase of or return of the Products, such as (but not limited to) fluctuations in exchange rates, bank charges for international refund transactions, taxes or any other charges or costs.

5. Intellectual Property Rights; ownership and license rights
All trademarks, trade names, copyright, designs, photographs, videos, course material, documentation and any other intellectual property right relating to the Website and the Products, including but not limited to the design, text and graphics, their selection and arrangement, and all software compilations, underlying source code and software, including applets (hereinafter jointly “Intellectual Property Rights”) belong to Kull Leadership (as owner or with a right of use), or the providers of such information. All rights are reserved. You agree
not to reproduce, redistribute, duplicate, copy, sell, resell, sublicense, broadcast, transmit, record, filming, download (except as explicitly permitted for the relevant Product) or exploit any portion of, or material, related to the Website or the Products. You agree not to modify, adapt, merge, translate, disassemble, decompile, reverse engineer (save to the extent permitted by law) any software belonging to Kull Leadership or its service providers. You are not permitted to file (or authorise the filing of) any application for registration of any Intellectual
Property Rights which are similar to any Intellectual Property Rights of Kull Leadership. Nothing in these General Terms shall constitute or be construed as a transfer of ownership of any of Kull Leadership’s Intellectual Property Rights or other rights or to otherwise give you any proprietary rights to Kull Leadership’s Intellectual Property rights or intellectual property rights belonging to a third party. In the event of any use of the Products in violence of this provision, Kull Leadership is entitled to immediately terminate the access to the Products (if applicable).

When you purchase our Products, Kull Leadership grants you a limited and non-exclusive license to use each Product for the agreed subscription period for one (1) user only. You are not permitted to make the Products available for several users by, including but not limited to, displaying the Products in a digital meeting (Teams, Zoom etc) or otherwise providing access to the Products.

Customer shall ensure that any person authorized to use the Products on behalf of Customer do not use the Products in violation of this Clause 5. In the event of breach by Customer or such other users on behalf of Customer of this Clause 5, Customer shall compensate Kull Leadership by paying Kull Leadership compensation corresponding to the degree of infringement of Kull Leadership's intellectual property rights and according to the damage that Kull Leadership has thereby suffered, but at least an amount of SEK 100,000 plus VAT, if applicable, per infringement occasion.

You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. In no case shall Kull Leadership be liable for any potentially arisen or perceived illness or discomfort as a result of Customer’s use, or any participant’s use on behalf of Customer, of the Products.

In no case shall Kull Leadership, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost goodwill, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any Products, or for any other claim related in any way to your use of any Product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Products or any content posted, transmitted, or otherwise made available via the Products, even if advised of their possibility.

Kull Leadership’s total liability arising from or in connection with Customer’s purchase of and/or Customer’s use of any Product (or any person’s use on behalf of Customer), or breach of these General Terms or any separate agreement whereby we provide Customer the Products, shall be limited to the total purchase price paid and received by Kull Leadership in connection with the relevant Products in relation to which a dispute has arisen. Kull Leadership’s total liability hereunder shall in no event, exceed SEK 25,000. No claim may be brought more than six months after the purchase date of the relevant Product.

9. Governing law and disputes
These General Terms and any separate agreements whereby we provide you Products shall be governed by and construed in accordance with the substantive law of Sweden. The courts of Sweden shall have exclusive jurisdiction over any dispute, controversy or claim arising out of or in connection with these General Terms and any separate agreements as set out above, or the breach, termination or invalidity thereof. The District Court of Gothenburg (Sw. Göteborgs tingsrätt) shall be court of first instance. Kull Leadership shall always be entitled to commence proceedings against you for the payment of any amount due to Kull Leadership in any court where you are domiciled or, alternatively, where your assets are located.
